How long does it take to incorporate a Hong Kong Company?
How long does it take to incorporate a Hong Kong company? 7 working days to obtain the Certificate of Incorporation. 2 working days to obtain the Business Registration. 3 working days for processing apostille documents. Please note that there is a lead time of 7 days for courier. The process is we will file for incorporation to obtain the C.I., and after obtain the C.I. we will prepare filing documents and email to you. The director and the shareholder would have sign those documents and return the ORIGINAL to us for filing and to obtain the Business Registration Certificate.
What information must I provide?
To incorporate a company in Hong Kong we need
- The name of the company
- Name and address of director
- Name and address of shareholder
Do directors names appear on public record?
Yes. If confidentiality is important to you we usually suggest that the client builds a double layer structure ( Belize + Hong Kong). Belize IBC will become the director and shareholder of the Hong Kong company. (a Belize IBC has no public record of directors or shareholders)
Do shareholders and beneficial owner names appear on public record?
Only the Shareholder information will be public information. The beneficial owner information will NOT be public information, however we need this information for our due diligence and filing.
Are corporate directors allowed?
Yes.
Can nominee directors be used?
Yes.
Can the shareholder be a corporation?
Yes.
Can nominee shareholders be used?
Yes.
Can the share capital be issued in other currencies?
Yes.
What is the standard share capital?
The standard capital is HK$ 10,000. If you want to register a higher capital, then there is a capital tax of 0.1% appling to the capital. Eg. HK$1,000,000, then the additional government charge will be 1,000,000 * 0.1%
Is the company taxed on profit from income generated outside of Hong Kong?
No. Hong Kong has a territorial tax system. Offshore income will not be taxed.
Is the company taxed on profit from income generated within Hong Kong?
Yes profit is taxed at 17.5% on profit generated within Hong Kong.
Is an audit required and can you provide an auditor?
Yes, Audit and Tax filing are required. Yes, we can provide a cost effective accountant and auditor. The standard audit fee usually starts at £900 which depends on the number of transaction.
Does the company have to mantain books and records in Hong Kong?
The company records can be kept anywhere in the World.
